2. Services Description

WOODNESS provides:

• Design, supply, and installation of WPC panels for residential and commercial properties
• Consultation services for home decor and exterior/interior applications
• Custom WPC solutions including wall panels, ceiling panels, roofing, and decorative elements
• Maintenance and warranty services for installed products

All services are subject to availability and may be modified or discontinued at our discretion.

3. Quotes and Pricing

All quotes provided by WOODNESS are estimates based on the information provided by the customer. Final pricing may vary based on:

• Actual site conditions and measurements
• Material availability and market prices
• Scope changes or additional work requested
• Unforeseen complications during installation

Quotes are valid for 30 days from the date of issue unless otherwise specified. We reserve the right to adjust pricing due to significant changes in material costs or project scope.

4. Payment Terms

Payment terms are as follows:

• Deposit: A 50% deposit is required upon contract signing to secure materials and schedule installation
• Progress Payment: Additional payments may be required for large projects at specified milestones
• Final Payment: The remaining balance is due upon project completion and customer approval
• Late Payments: Late payments may incur a 1.5% monthly interest charge

We accept payment via check, bank transfer, and major credit cards. All payments are non-refundable once materials have been ordered or work has commenced.

5. Installation and Timeline

Installation timelines are estimates and may be affected by:

• Weather conditions and seasonal factors
• Material delivery schedules
• Site accessibility and preparation requirements
• Permit approvals and inspections
• Unforeseen circumstances beyond our control

While we strive to meet estimated timelines, WOODNESS is not liable for delays caused by factors outside our reasonable control.

6. Customer Responsibilities

Customers are responsible for:

• Providing accurate property information and measurements
• Ensuring site accessibility for workers and equipment
• Obtaining necessary permits and approvals (unless otherwise agreed)
• Protecting personal property and belongings during installation
• Providing utilities (water, electricity) as needed for installation
• Notifying us of any site hazards or special conditions

7. Warranties and Guarantees

7.1 Product Warranty

WPC materials come with manufacturer warranties covering defects in materials and workmanship. Warranty periods vary by product and typically range from 10 to 25 years. Specific warranty terms will be provided with your contract.

7.2 Installation Warranty

WOODNESS provides a 2-year warranty on installation workmanship, covering defects resulting from improper installation. This warranty does not cover:

• Damage caused by customer misuse or negligence
• Normal wear and tear
• Damage from extreme weather events or acts of God
• Modifications or repairs performed by third parties
• Failure to follow recommended maintenance procedures

8. Limitation of Liability

To the maximum extent permitted by law:

• WOODNESS's total liability shall not exceed the total amount paid by the customer for the specific project
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not responsible for pre-existing conditions or hidden defects in the customer's property
• Claims must be made in writing within 30 days of project completion

9. Cancellation and Refunds

Cancellation policies:

• Before Material Order: Customers may cancel with a 10% administrative fee
• After Material Order: Deposits are non-refundable as materials are custom-ordered
• During Installation: Customer is responsible for all costs incurred plus 25% of remaining contract value

WOODNESS reserves the right to cancel contracts due to non-payment, site inaccessibility, or customer breach of terms.

10. Intellectual Property

All content on our website, including designs, logos, text, images, and software, is the property of WOODNESS or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

11. Dispute Resolution

In the event of a dispute:

• Parties agree to first attempt resolution through good-faith negotiation
• If negotiation fails, disputes shall be resolved through binding arbitration in Houston, Texas
• These Terms are governed by the laws of the State of Texas
• Any legal action must be brought within one year of the dispute arising

12. Indemnification

You agree to indemnify and hold harmless WOODNESS, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these Terms, misuse of our services, or violation of any laws or third-party rights.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
